1. Applicability of the Terms
These Terms of Service govern the use of the Corgent platform. They become part of the contract under § 305 BGB if we expressly refer to them at the time of contract formation, give you a reasonable opportunity to take note of them, and you agree to their applicability (in particular by actively checking the checkbox during registration/sign-in). Mandatory statutory rights, especially consumer rights, remain unaffected. Our Privacy Policy and — where applicable — the Data Processing Agreement (DPA) apply in addition.
2. Service Description
Corgent is a platform for discovering, deploying, and using AI agents. Features may evolve and may be changed, added, or discontinued. Some functions require payment. For AI inference we enforce Zero Data Retention (ZDR) and data_collection=deny; technical details and subprocessors are set out in the Privacy Policy and at /subprocessors.
3. Accounts, Security, and System-Critical Emails
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must keep your information accurate and notify us without undue delay of unauthorized access or security incidents. By creating a Corgent account, you agree to receive system-critical and transactional emails to the extent required for contract performance. These include in particular sign-in and verification confirmations, password reset, security information, billing and payment notices, and notices of breaking changes / breaking updates regarding service availability or material feature changes. Regular newsletters and promotional product updates are excluded from this and require separate consent.
4. Billing, credits and the Manager plan
Agent services are billed at a fixed, pre-stated price per outcome from a prepaid, platform-bound credit balance. Purchased credits are not transferable and cannot be redeemed for cash; unless mandatory law requires otherwise, unused purchased credits are non-refundable. A monthly free allowance expires at the end of the respective calendar month. On the free plan the Manager is limited to a daily number of requests; the Manager plan is billed per user monthly in advance, renews automatically for one month and can be cancelled at any time to the end of the current billing month. Prices are exclusive of VAT; payment provider fees may apply.
5. Acceptable Use and Prohibition of Abuse
Use for unlawful, abusive, fraudulent, copyright-infringing, or security-harming purposes is prohibited. In particular, you must not submit inputs or content you are not authorized to use, and you must not use the service to circumvent security or compliance measures. Prohibited in particular are: prompt injection and comparable manipulation of AI/agent systems; XML, SQL, or other injection attacks; malicious overload of servers or interfaces (including denial of service); scans, exploits, and attacks on infrastructure; use of agents for malicious, discriminatory, fraudulent, or otherwise illegal purposes; and any use that infringes third-party rights or applicable law. In case of violations, we may suspend access immediately and, where appropriate, file a criminal complaint or assert civil claims.
6. Your Content, Data, and Responsibility
You are solely responsible for ensuring that all content, data, files, credentials, and other information that you, or persons acting on your behalf, feed into agents, Manager Chat, knowledge bases, integrations, or other platform features ("Customer Content") belongs to you or that you are authorized to input and process it, and that using this Customer Content on the platform does not infringe third-party rights (in particular copyright, trademark, personality, trade secret, or data protection rights), contractual obligations owed to third parties, or applicable law. Corgent does not review Customer Content in advance and gives no warranty as to its lawfulness, accuracy, completeness, or fitness for a particular purpose. Corgent is not liable for Customer Content or for damages arising from your unlawful input, processing, or disclosure of Customer Content. You will indemnify Corgent on first demand against any well-founded third-party claims (including reasonable legal defense costs) arising from a breach of this Section, unless you are not responsible for the underlying breach.
7. AI Services, Risks, and User Responsibility
Corgent provides access to AI agents that run on language models. These models generate outputs based on statistical probabilities and patterns recognized in training and input data, not on understanding or fact-checking. Outputs from AI agents may therefore be incomplete, factually incorrect, outdated, biased, fabricated (so-called hallucinations), or unsuitable for your purpose. You expressly acknowledge these risks of generative AI and are obliged to review, approve, and — where required — professionally validate results on your own responsibility before using them. The service must not be used as the sole basis for legal, medical, employment-related, financial, safety-related, or other high-risk decisions. You remain responsible for actions that you, or persons acting on your behalf, take or approve based on AI outputs.
8. Approval in Manager Chat and Tool Execution
Manager Chat enforces manual approval for write actions server-side: every action that would change data or send something on your behalf requires your explicit approval in the chat before it executes. An automatic "Auto allow" execution mode is not currently available, regardless of any preference shown in the interface. You remain responsible for reviewing and approving actions appropriately for your risk profile.
9. AI Notice for Automated Actions
Responses and suggested actions in Manager Chat and in agents are generated by AI systems that operate on probabilities and may be incorrect, incomplete, or misleading. You are communicating with an AI system, not a human (transparency notice under Article 50 of the EU AI Act). Write actions require your explicit manual approval before execution. You remain responsible for supervision, validation, and rollback decisions.
10. Integrations and Third-Party Services
You may connect optional integrations to third-party services on the platform (e.g. email, CRM, communication, developer, or other third-party providers). These third-party services are operated and provided solely by the respective providers, not by Corgent. Use of these services is additionally, and primarily, governed by the respective third-party provider's own terms of service, privacy policy, and other conditions, which you should review on your own responsibility before connecting an integration. Corgent has no influence over the availability, feature scope, content, data quality, interface changes (API updates), pricing, or discontinuation of these third-party services and gives no warranty and accepts no liability for them. Functional limitations within Corgent caused by changes, disruptions, or the discontinuation of a third-party service do not constitute a defect in our service. You are responsible for the lawfulness of data provided, retrieved, or transmitted through an integration and for complying with the respective third-party provider's terms; Section 6 applies accordingly.
11. Availability and Service Changes
We aim to provide a high level of availability, but we do not guarantee uninterrupted or error-free operation. We may adapt, restrict, or discontinue services where this is required or reasonable for technical, security, legal, or commercial reasons.
12. Liability and Warranty
The service is provided, to the extent permitted by law, on an as is and as available basis. We are liable without limitation in cases of intent, gross negligence, injury to life, body or health, and where liability is mandatory by law (e.g. under the German Product Liability Act). In the event of slight negligence in the breach of essential contractual obligations (cardinal obligations), liability is limited to the typical foreseeable damage. Otherwise, liability for damage caused by slight negligence is excluded. In particular, Corgent is not liable for Customer Content (Section 6), for the substantive accuracy of AI outputs (Section 7), or for the availability, content, or data provided by third-party integrations (Section 10).
13. Suspension and Termination
We reserve the right to temporarily or permanently exclude users from the platform (account and access suspension) if you breach these Terms, act undesirably or abusively, create security or abuse risks, fail to pay due amounts, or if continuation of the service becomes legally or factually unreasonable. In case of serious violations — in particular attacks on the platform, injection attempts, overload attacks, or use for illegal purposes — suspension may occur immediately and without prior notice. Statutory claims of the parties remain unaffected; where appropriate, we reserve the right to report to law enforcement authorities.
14. Changes to Terms
We may amend these Terms with effect for the future where there is an objective reason to do so, including service development, changes in law, or security requirements. We will inform you of material changes in an appropriate manner. Continued use after effectiveness may — where legally permitted — constitute acceptance; if you reject the changes, you may terminate the contract.
15. Applicable Law and Consumer Rights
The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods, unless mandatory consumer protection laws of the country in which you habitually reside provide otherwise.
16. Eligibility and Minors
Corgent is a business-to-business (B2B) service. You must be at least 18 years old and have full legal capacity, or you must be acting as an authorized representative of a legal entity that has accepted these Terms. We do not knowingly offer accounts to, or collect corresponding data from, minors acting in a personal capacity. If we become aware that an account has been created by a minor acting outside an authorized business capacity, we may suspend or terminate that account.
17. Intellectual Property and Copyright Takedown Notices
Corgent and its content, trademarks, and underlying software are protected by intellectual property laws. If you believe that content available through the service infringes your copyright or other intellectual property rights, please send a notice to the legal contact email listed in our Legal Notice (Impressum), including: (1) identification of the protected work, (2) identification of the allegedly infringing material and its location, (3) your contact details, and (4) a statement that you have a good-faith belief that the use is unauthorized. Upon receiving a valid notice, we will review it and, where warranted, remove or disable access to the material without undue delay.
